General Terms and Conditions (T&C)

§ 1 Scope of Application

These General Terms and Conditions apply to all services provided by DANOV MUSIC (proprietor: Mykyta Bohdanov), Berlin. By submitting the Project Brief or placing an order in any other form, the client accepts these T&C. Conflicting or deviating terms of the client are hereby expressly rejected (§ 305c German Civil Code, BGB).

§ 2 Conclusion of Contract (§§ 145–147 BGB)

The contract is concluded upon written or electronic confirmation (e-mail, WhatsApp, Telegram). The completed Project Brief together with the confirmed quote constitute the binding scope of services. Verbal requests or commitments are non-binding.

§ 3 Scope of Services (§ 631 BGB)

DANOV MUSIC provides the following services as individually agreed: recording, mixing, mastering, production, arrangement, composition, songwriting, vocal editing and vocal tuning. All creative decisions are based exclusively on the information provided in the Project Brief and the references named by the client.

§ 4 Revisions

The agreed scope of work includes a maximum of three (3) minor revision rounds (balance, levels, EQ, volume adjustments). Revision requests must be submitted in writing within five (5) business days after delivery. Change requests that contradict the original brief, introduce new requirements, change the genre or style, or demand a fundamentally different creative direction are considered a new order and will be quoted and invoiced separately. If no feedback is received within five (5) business days, the work is deemed accepted (§ 640 para. 2 BGB).

§ 5 Sound Disclaimer

A new mix, master or arrangement will inherently sound different from any demo, reference or previous version. This is the natural result of professional audio processing and does not constitute a defect. A request that the final mix should sound “exactly like the demo” contradicts the purpose of professional audio engineering and does not constitute a valid reason for revision.

§ 6 Scope Changes

Any requests beyond the original brief (additional tracks, instruments, styles, vocals, re-arrangements) are considered a new order and will be quoted separately. Verbal requests for additional services are non-binding.

§ 7 Remuneration and Payment Terms (§§ 641, 632a BGB)

All payments are made by invoice. As a standard, 50 % of the order value is due as an advance payment before work commences, with the remaining 50 % due upon delivery. Alternatively, 100 % prepayment may be agreed. Recording sessions are billed based on net recording time (excluding breaks). In the event of late payment, default interest of 5 percentage points above the ECB base rate applies (§ 288 BGB). Final files will only be released upon receipt of full payment.

§ 8 Cancellation of Studio Sessions

Cancellation less than 48 hours before the scheduled appointment: 100 % of the session fee is charged. Cancellation less than seven (7) days before the appointment: 50 % is charged. No-show: 100 % is charged. Recording sessions are billed at the agreed hourly rate.

§ 9 Termination of the Service Contract (§ 648 BGB)

The client may terminate the contract at any time. In such case, DANOV MUSIC is entitled to the agreed remuneration less any expenses saved. If work has already commenced, advance payments are non-refundable. No refund is granted after acceptance of the work.

§ 10 Client Cooperation Obligations (§§ 642, 643 BGB)

The client is obliged to provide all materials necessary for the performance of services (stems, lyrics, briefings, references) on time and in the agreed quality. In the event of a delay exceeding five (5) days, a waiting fee of 50 EUR per day will be charged; alternatively, DANOV MUSIC reserves the right to terminate the contract.

§ 11 Conduct and Extraordinary Termination (§ 314 BGB)

DANOV MUSIC reserves the right to terminate the contract without notice in the event of abusive, discriminatory or otherwise disrespectful behaviour by the client. In such cases, advance payments are non-refundable.

§ 12 Rights and Master Files (German Copyright Act, UrhG)

A) Technical services (recording, mixing, mastering, vocal editing): DANOV MUSIC does not acquire any copyright or neighbouring rights to the client's work. Master files are delivered exclusively upon full (100 %) payment.

B) Creative services (arrangement, composition, songwriting, lyrics): The copyright (moral rights, §§ 11–14 UrhG) is inalienable under German law and remains with DANOV MUSIC. The client does not need to request separate permission for each individual use. Upon full (100 %) payment, the client receives exclusive usage rights (§ 31 para. 3 UrhG) as well as all neighbouring and master rights without restriction.

In all cases: master files are released only after full payment by invoice. DANOV MUSIC retains the right to use excerpts of completed works for portfolio and promotional purposes.

§ 13 Liability (§§ 276, 278 BGB)

DANOV MUSIC is liable solely for intent and gross negligence. Liability for subjective dissatisfaction with the sonic result is excluded, provided the service complies with the specifications of the brief and references.

§ 14 GEMA and Licensing

GEMA fees, sync licences and all third-party royalties (sample clearances, featured artists, etc.) are the sole responsibility of the client.

§ 15 Applicable Law · Jurisdiction · Severability

These T&C are governed exclusively by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction shall be Berlin, to the extent legally permissible. Should individual provisions of these T&C be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. Any invalid provision shall be replaced by the legally permissible regulation that comes closest to the economic purpose of the invalid provision.
